1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Solaria software as a service platform (the “Service”) offered by Solaria (“Solaria,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of the Service
Solaria provides a suite of marketing, automation, and business tools for entrepreneurs, coaches, and creators. Features include, without limitation:
Unlimited contacts, products, course portals, community groups, websites, funnels
Unlimited workflow automations (excluding premium triggers and actions)
Unlimited social scheduling, calendars, domain connections (excluding email domains)
Unlimited transaction processing
3. Plans and Pricing
The Solaria Plan grants access to features listed in Section 2. The price you pay is the price shown at checkout.
4. Additional Services and Fees
Additional services such as SMS marketing, phone calls, premium integrations, and email verification are available inside Solaria and billed separately from your subscription. These services are usage-based and require a positive wallet balance. You are responsible for keeping sufficient funds in your wallet to cover usage. If your balance runs low, your services may be paused until payment is replenished. If your balance runs out, queued messages may fail until funds are replenished.
5. Email Verification
Optional email verification helps protect sending reputation. The price is $0.0025 per email ($10 is about 4,000 verifications). You can enable or disable this at any time.
6. Modifications
We may modify the Service or these Terms at any time. We will post updates on our website. Continued use after changes are posted means you accept the changes.
7. Term, Termination, Suspension
7.1 Term
These Terms remain in effect while you use the Service. We may suspend or terminate access at any time, with or without notice.
7.2 Account Cancellation by You
If you cancel your Solaria account, your account and associated data will be scheduled for deletion within seventy-two (72) hours unless you request a transfer.
Account Transfers:
We respect that your data belongs to you. If you wish to move your account to another HighLevel agency or to the base HighLevel platform, Solaria offers a transfer service for a one-time administrative fee of $250 USD. This fee covers the cost of securely exporting, preparing, and transferring your account data and assets.
The transfer service includes a direct migration of your existing account structure, assets, and data. It does not include redesign, reconfiguration, or customization in the new account environment.
Transfer requests must be submitted in writing to [email protected].
Transfers will be processed within 7–10 business days of payment.
Once the transfer is complete, you will maintain access to your data in the new account environment and your Solaria account will be closed.
If you do not request a transfer at cancellation, your data will be permanently deleted within 72 hours.
7.3 Pause Option
You may request to pause your account for up to three months, subject to approval and a $10 USD monthly fee. During a pause, access to the platform is suspended while your data is retained. If payment of the pause fee fails, your account may be cancelled.
7.4 Platform Closure
Solaria operates on enterprise-grade infrastructure. In the unlikely event we cease operations, we will make reasonable efforts to facilitate transition to the underlying software provider to reduce disruption.
7.5 Inactivity
For unpaid, inactive subscriptions, data may be retained for up to 90 days. After 90 days, data may be permanently deleted. A paid pause preserves data.
8. Age of Access
You must be 18 years or older to use the Service. By using Solaria you represent and warrant that you are at least 18.
9. Account Registration and Security
9.1 Account Holders
You must provide current, complete, and accurate information and keep your login credentials confidential. You are responsible for all activity under your account.
9.2 Team Members
Account Holders may provision Team Member access. Account Holders are responsible for all Team Member actions within their account.
9.3 Security
If we suspect false information, account sharing, impersonation, or abuse, we may suspend or terminate access without refund. Notify us immediately of any unauthorized use. We are not liable for losses resulting from unauthorized access to your account.
10. Trials, Renewals, Cancellations, and Refunds
We may offer trials. Trial details will be shown at sign-up. Payment details may be required before a trial begins. If you do not cancel before the trial ends, billing will begin automatically on the selected plan interval.
Subscriptions renew automatically until cancelled.
All fees are non-refundable. No refunds or pro-rations are provided unless required by law.
Chargebacks are a breach of these Terms. We may disable your account and pursue collection for unpaid amounts.
11. Ownership of Solaria IP and Limited License to You
The Service, software, technology, templates, designs, training materials, documentation, logos, and all other content and intellectual property provided by Solaria are owned by Solaria or its licensors and protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business use. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works of the Service or any content except as expressly permitted in writing by Solaria.
12. Your Content and License to Solaria
You retain ownership of content you upload or input into the Service (“Your Content”). You grant Solaria a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, display, transmit, and otherwise use Your Content as necessary to operate, improve, secure, and support the Service, to provide customer support, and to comply with law. You represent that you have all rights and permissions needed to grant this license and that Your Content does not infringe any third-party rights. We may access your account to provide support at your request or if reasonably necessary to maintain the Service.
Upon termination, we may retain server copies of Your Content as required by law or for legitimate business purposes, but we have no obligation to retain or provide copies to you unless required by law.
13. Restrictions on Export and Portability of Solaria IP
Solaria templates, designs, and proprietary materials are for use only within Solaria. Transfers or exports of Solaria templates or proprietary materials to other HighLevel agencies or to other software ecosystems are prohibited unless
Solaria provides express written permission.
14. Code of Conduct and Acceptable Use
You agree not to:
Use the Service for any unlawful purpose or in violation of any law or regulation.
Upload malware or harmful code, interfere with the Service, or attempt unauthorized access.
Engage in spam, bulk messaging, or unsolicited marketing that violates CAN-SPAM, TCPA, or similar laws.
Harass, defame, or discriminate against others, or post hateful, obscene, or infringing content.
Host multiple unrelated client businesses inside one account in violation of plan scope.
Remove or alter proprietary notices or rights management information.
We may remove content, suspend, or terminate accounts that violate this section.
15. Data and Legal Compliance
You are solely responsible for compliance with all laws that apply to your use of the Service and your communications, including privacy and marketing laws and regulations such as CAN-SPAM, TCPA, GDPR, UK GDPR, CCPA/CPRA, CASL, and Do Not Call rules. You represent that you have obtained any required consents and provided required notices for collection and processing of personal data and for sending emails or SMS. You will not use the Service for regulated or prohibited content or activities.
16. Third-Party Services
The Service may integrate with third-party services, websites, or applications. We are not responsible for third-party content, products, terms, or privacy practices. Your use of third-party services is governed by their terms.
17. Payment Processing
Payments are processed by Stripe and may include other processors we add in the future. By using payment processing, you agree to the applicable processor’s terms and to provide accurate and complete information.
18. DMCA and Copyright
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice that includes the information required by 17 U.S.C. §512(c)(3) to our designated agent:

If we remove content in response to a notice, we may notify the user. If you believe your content was removed in error, you may send a counter-notice that meets the requirements of 17 U.S.C. §512(g). We may terminate accounts of repeat infringers.
19. Account Ownership Disputes
If ownership of an account is disputed, we may request documentation to determine rightful ownership, such as government ID, business formation documents, tax documents, billing records, or other proof. We may suspend access while we evaluate and may assign the account to the party we determine is the rightful owner, unless prohibited by law.
20. Diversity, Equity, and Inclusion
Solaria serves a diverse global community. We do not tolerate discriminatory speech or conduct. We may terminate or suspend accounts that engage in hate speech, harassment, or conduct that threatens or demeans individuals or protected groups.
21. Service Availability, Errors, and Corrections
We strive to keep Solaria available and secure, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. You are responsible for maintaining copies and backups of Your Content. We may occasionally schedule maintenance or experience outages. Solaria is not liable for business losses resulting from downtime.
22. Disclaimer
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.
23. Limitation of Liability
Solaria and its affiliates, officers, directors, employees, contractors, agents, suppliers, and licensors are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, service interruption, or system failure, even if advised of the possibility. Our total liability arising out of or relating to the Service or these Terms will not exceed the subscription fees you paid to Solaria for the one month during which the event giving rise to the claim occurred. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
24. Indemnification
You agree to indemnify, defend, and hold harmless Solaria and its affiliates, officers, directors, employees, contractors, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
25. Governing Law and Jurisdiction; Dispute Terms
These Terms are governed by the laws of the State of South Carolina, without regard to conflict of laws rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in South Carolina for all disputes arising out of or related to these Terms or the Service.
Waiver of Jury Trial and Class Actions. You and Solaria waive the right to a jury trial. Proceedings must be brought in your individual capacity and not as a class, consolidated, or representative action.
Time Limit to Bring Claims. Any claim must be filed within one year after it arose or be forever barred.
26. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, strikes, labor disputes, pandemics, embargoes, government actions, or Internet or utility failures.
27. Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
28. No Waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
29. Entire Agreement
These Terms, together with any policies or terms referenced in them, are the entire agreement between you and Solaria regarding the Service and supersede prior or contemporaneous agreements on the subject.
30. Changes to These Terms
We may revise these Terms at any time. For material changes, we will post an effective date and make reasonable efforts to provide advance notice. Your continued use after changes take effect means you accept the updated Terms.
